Yes. There is no residency requirement to be a shareholder or director of a Spanish company. Every foreign shareholder and director needs a NIE (foreigner identification number), and a non-resident company shareholder needs a NIF and a local legal representative. No. The entire incorporation can be completed remotely. By signing a notarised, apostilled power of attorney, your legal representative in Spain can obtain your NIE, open the bank account, deposit the share capital and sign the deed of incorporation before a Spanish notary on your behalf.
The standard minimum share capital for a Sociedad Limitada is €3,000, deposited into the company bank account before incorporation. Since the 2022 reform it is legally possible to start from €1, but you must then set aside 20% of annual profit to a reserve until €3,000 is reached, and €3,000 is what banks and partners typically expect.
The NIE (Número de Identidad de Extranjero) is a Spanish tax identification number for foreigners. It is the first requirement before you can sign the incorporation deed, be a shareholder, act as director or open a bank account.
